Scotto Partners is advising the Diot-Siaci Group on its acquisition of the Réunion Aérienne & Spatiale Group

Scotto Partners advised the Diot Siaci Group, a leader in insurance consulting and brokerage for businesses, as it continues its ambitious strategy of targeted external growth through the acquisition of Réunion Aérienne & Spatiale (RAES), a leading player in aviation and space insurance whose shareholders included several major insurers, including Generali IARD SA, the Société Mutuelle d’Assurance du Bâtiment et des Travaux Publics, and Helvetia Assurances SA. Key managers will retain a minority stake in RAES following the transaction.

Scotto Partners, the long-standing advisor to the Diot Siaci Group’s management, worked alongside the group to negotiate deferred liquidity agreements regarding the RAES shares held by key managers, and to coordinate the reinvestment by those same key managers of a portion of their proceeds from the sale into the Diot Siaci Group management’s joint investment company, which holds approximately 9.62% of the group’s capital.

The Scotto Partners team consisted of Adrien Badelon, Julia Brochet, and Daniel Hernandez. Diot Siaci was also advised by the law firm Veil Jourde, while RAES’s key managers were advised by Ashurst.
