The law firm SCOTTO & ASSOCIES is advising the Ellipse Group on its restructuring
Ellipse FTB completed a merger-by-absorption of three of its subsidiaries whose securities are listed on the Marché Libre of Euronext Paris, namely Société Immobilière de l’Indochine (SIDI), Société d’Équipement Électrique et Mécanique en Asie (SEMAS), and Société Industrielle pour les Eaux et l’Électricité en Asie (SIPEA).
These transactions are part of the restructuring of the Ellipse real estate group, which operates in two distinct business segments: (i) a network of real estate agencies, owned by Ellipse FTB, that serves the residential market, and (ii) real estate asset management through its three subsidiaries.
As a result of these transactions and the dissolution of SIDI, SIPEA, and SEMAS, trading in these companies’ shares on the Euronext Paris Marché Libre was suspended pending the delisting of their securities, in accordance with the provisions of the Marché Libre organizational guidelines and the rules governing delisted securities.
