Scotto advised the management team on the sale of a controlling stake in Baccarat by subsidiaries of Starwood Capital Group and L Catterton to the Fortune Fountain Capital Group
Fortune Fountain Capital has acquired 88.8% of the shares of Baccarat S.A., a world-renowned French luxury crystal manufacturer listed on Euronext Paris, from subsidiaries of Starwood Capital Group and L Catterton.
This acquisition was completed at a price of 222.7 euros per share and follows the completion of the consultation process with Baccarat’s employee representative bodies in France, as well as the receipt of certain regulatory approvals in the People’s Republic of China.
This acquisition will be followed by the filing with the Autorité des Marchés Financiers of a mandatory tender offer for the remaining outstanding shares, at the same price, so that the Authority may rule on the compliance of the proposed tender offer.
Baccarat’s management team was advised by the law firm Scotto & Associés, with Thomas Bourdeaut (Partner) and Léo Ouazana (Associate) handling corporate matters, and Xavier Colard (Associate) handling tax matters.
