Scotto Partners is advising Cooper-Vemedia's management team on the acquisition of the group by CVC

CVC Capital Partners has reached an agreement to acquire the Cooper-Vemedia Group, a French pharmaceutical company specializing in over-the-counter medications, from Charterhouse Capital Partners, its majority shareholder since 2015.

In particular, Scotto Partners advised the French and Dutch investor managers during negotiations with the various candidates, which resulted in a very substantial reinvestment by top management in the new project led by the CVC fund. Following the transaction, Charterhouse Capital Partners will make a minority reinvestment in this new phase of the group’s development.

“This transaction, one of the largest in the market, served as a textbook example both in terms of the smooth coordination between the management team and its advisors and in terms of the speed and quality of the sales process,” commented Lionel Scotto le Massese, the partner in charge of the deal.

Cooper Consumer Health (formerly Alpha Health Group) is the European consolidation platform in the field of over-the-counter (OTC) medications and self-care, created by the investment firm Charterhouse Capital Partners in January 2016. Today, this platform holds a dominant position in France, the Netherlands, Belgium, Italy, Spain, and Portugal. It was formed through the successive acquisitions of Cooper Laboratories and Vemedia Laboratories in 2016. Since then, the Group has made numerous brand acquisitions, including Hexomédine, Essaven, and Dacryoserum. Among the Group’s leading brands are Oenobiol, Valdispert, Mag2, Pouxit, Insect Ecran, Excilor, and Audispray.

In connection with this transaction, the management of the Cooper-Vemedia Group was advised by a team consisting of Lionel Scotto Le Massese, Isabelle Cheradame, and Adrien Badelon (partners), as well as Charlotte Hazan and Charles Escolier on corporate matters, and Jérôme Commerçon (partner), assisted by Julien Pardieu and Pierre-Henri Abadie, on tax matters.

On the financial side, they were advised by Callisto, whose team consisted of Vincent Aymé and Tancrède Caulliez.
