Scotto Partners is advising the shareholder-managers of the Diot-Siaci Group in connection with negotiations with Ardian regarding the restructuring of the group’s ownership structure
Scotto Partners advised the shareholder-managers of the Diot-Siaci Group during negotiations regarding the increase in the Ardian investment fund’s stake in the company. Ardian, which already holds 1.56% of the shares, plans to acquire the stakes held by the Ontario Teachers’ Pension Plan and Cathay Capital, while Bpifrance is also expected to reduce its stake.
Diot-Siaci is a multi-specialty insurance and reinsurance consulting and brokerage group. It develops solutions for large corporations, mid-sized companies, small and medium-sized enterprises (SMEs), and professionals in the areas of life and health insurance, as well as property and liability insurance. The group employs more than 7,000 people in Europe, Asia, the Middle East, and Africa.
During this transaction, Scotto Partners advised the management of the Diot-Siaci Group in its negotiations with Ardian and in renewing the partnership established with Christian Burrus in 2021. Scotto Partners also designed the new management package that will be offered to the group’s senior executives and managers.
This transaction will enable Ardian to become the largest financial shareholder of the Diot-Siaci Group alongside the Burrus Group and management, with the aim of continuing Diot-Siaci’s growth trajectory, which has already increased its valuation from 2.5 to 4.8 billion euros since 2021.
