SCOTTO & ASSOCIÉS is advising the MinebeaMitsumi Group on its acquisition of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited

The MinebeaMitsumi Group, one of the world’s leading manufacturers of high-precision industrial components (particularly in the aviation sector), has completed the acquisition—through the companies NMB Minebea SARL and NMB Minebea UK Ltd. — of the entire equity and voting rights of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited, located in France and India, respectively. The transaction was subject to foreign investment controls in France.

The MinebeaMitsumi Group—controlled by MinebeaMitsumi Inc., which is listed on the Tokyo and Nagoya stock exchanges—has approximately 80,000 employees worldwide and reported consolidated net revenue of approximately 4.8 billion euros for the fiscal year ended March 31, 2017.

The MinebeaMitsumi Group was advised by the law firm Scotto & Associés, with Thomas Bourdeaut (partner), Magda Picchetto, and Léo Ouazana handling corporate matters; Jérôme Commerçon (partner) and Raphaël Bagdassarian handling tax matters; and Justine Moreau handling employment law matters. The English law firm Memery Crystal and the Indian law firm Singhania & Partners also assisted the MinebeaMitsumi Group with matters relating to English law and Indian law, respectively.

The shareholders of Mach Aero Bretigny Rectification and Mach Aero Components Private Limited were advised by the law firm De Gaulle Fleurance & Associés—with Blaise Philippe Chaumont (partner), Matthieu Bichon, and Anne Kuhanathan—on corporate matters, Cécile Buzy on labor law matters, as well as by the law firm Dr. Kainth & Associates on the Indian legal aspects of the transaction.
