Scotto Partners is advising the founders of GreenYellow on its acquisition by the investment fund Ardian

GreenYellow, a French pioneer in decentralized solar energy production and energy efficiency supporting its customers’ energy transition, is heading toward a primary LBO after 15 years as part of the Casino Group. Ardian Infrastructure has committed to the Casino Group, Tikehau Capital, and Bpifrance shareholders to acquire a majority stake in GreenYellow, while existing shareholders (including the founding executives) would retain significant stakes. This transaction values GreenYellow at 1.4 billion euros.
The proposed transaction is expected to be completed during the fourth quarter of 2022, subject to obtaining the necessary regulatory approvals.
As part of this primary LBO, Scotto Partners advised Greenyellow’s founding executives, Otmane Hajji and Philippe Houins, and their management team, with a team comprisingIsabelle Cheradame (partner) and Adrien Badelon (partner), assistedby Charles Escolier on corporate and M&A matters, Jérome Commerçon (partner), supported by Julien Pardieu and Pierre-Henri Abadie on tax matters, as well as Bertrand Thibaut and Alban Tourneux on employment law matters.
