Scotto Partners is advising the founders of +Simple and their team in connection with an equity investment by KKR and a bond financing provided by Tikehau

Press Release

+Simple is restructuring its shareholder base with the entry of the U.S.-based KKR Growth Fund into its capital. The founders remain heavily invested, while a number of existing financial shareholders retain a portion of their stakes. At the same time, the group has secured bond financing from Tikehau to fund its ambitious acquisition plan without diluting shareholder equity.

+Simple is the first French insurtech startup to digitize and streamline the entire insurance value chain for professionals. It offers independent professionals and small and medium-sized businesses a robo-broker that simplifies the process of purchasing professional insurance through digital solutions. With 120 employees and 100,000 customers in France, Italy, and Germany, +Simple now covers 500 different professions.

Following two funding rounds in three years, this two-part transaction—made possible by the company’s move into profitability and scheduled to be completed in April—marks a new milestone in +Simple’s development and solidifies its position as the natural platform for industry consolidation in Europe.

The actual completion of the transaction is subject to the standard terms and conditions.

As part of this transaction, the founders of +Simple and their team are being advised by Scotto Partners, with a team comprisingAdrien Badelon (partner), William Ducrocq-Ferré, Fiona Kalash, and Tania Lozano for corporate matters; Jérôme Commerçon (partner), Julien Pardieu (Counsel) and Pierre-Henri Abadie on tax matters, as well as Bertrand Thibaut (Counsel) and Alban Tourneux on employment law.

Other legal advice:

KKR is advised by Gibson Dunn (London and Paris), Tikehau by McDermott, the selling shareholders by Hogan Lovells (corporate) and Gide, and the group by Hogan Lovells (financing) regarding the bond documentation.
